EXCEPT AS EXPRESSLY SET FORTH HEREIN, NEITHER PARTY MAKES ANY, AND EACH PARTY HEREBY SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PRODUCTS AND SERVICES.

INDEMNIFICATION: Both Parties agree to indemnify, defend and hold harmless, The Benedict Castle Concours, Teen Challenge International, the Benedict Castle, the City of Riverside, and any other Party connected with the management or production of the Benedict Castle Concours and its parent, subsidiaries, affiliates, successors and assigns from and against any and all claims, any and all known and unknown damages, injuries, losses, judgment, and/or claims from any causes whatsoever, that may be suffered by any person to his person or property and all third party losses, liabilities, damages, actions, claims, expenses and costs (including reasonable attorneys’ fees). Further, both parties agree to indemnify and hold Show Producer and all other foregoing entities, harmless from and against all costs, attorney’s fees, expenses and liabilities incurred in the defense any such claim or any action or proceeding brought thereon. This Agreement constitutes the binding agreement between the Parties; and supersedes all prior agreements relating to the subject matter contained herein and may not be modified or amended except in writing signed by the Parties.
